Time Warner Inc. profile and media properties

Jeff Bewkes is the CEO of Time Warner Inc..

Time Warner Inc. (NYSE: TWX) is one of the world's largest media companies -- a giant, publicly owned corporation with interests in publishing, telecommunications, film, television and the Internet.

Time Warner was formed in 1990 by the merger of Time Inc. and Warner Communications. The merger was billed as a joining of "old media" (publishing) and "new media" (television, movies and music).

In 1996, Time Warner acquired Ted Turner's Turner Broadcasting System, including Cable News Network (CNN).

In 2000, America Online (AOL) merged with Time Warner and the company became AOL Time Warner Inc.. This merger is widely regarded as the crowning disaster of the Internet investment mania at the end of the 20th century. In 2003, the merged company reported an annual loss of almost $100 billion. This was the largest loss ever recorded in corporate history at the time, and $45 billion of it was attributed to the declining value of AOL. In 2004, AOL was dropped from the company name.

In March of 2004 the Company sold its recorded music and music publishing business to a private investor group led by Edgar Bronfman, becoming Warner Music.

On May 28, 2009, Time Warner announced that it would spin off AOL into a separate public company. The spinoff took place on December 9, 2009, and AOL is now an independent company traded on the New York Stock Exchange.

Time Warner and the War Against Free

-- CEO Jeff Bewkes is standing up for paid content in a world of cheap online video, Bloomberg Businessweek reported on January 20, 2011:

"Rival approaches to distribution—from the à la carte menu championed by Apple's iTunes store to the cheap monthly subscription model of Netflix—are pretty simple. With the health problems of Apple CEO Steve Jobs compelling him to step down for a third leave of absence, his influence must be measured not just across the computer, phone, and device businesses but across the media distribution business as well. In part it can be measured by the model Bewkes is fighting against: Call it the Apple Trap. Consumers enjoy watching shows for free online or going to the iTunes store and renting them for as little as 99 cents a pop, about 70 cents of which makes it back to the content creator. Since that is far less than what other distributors pay, Bewkes is no fan of it. He won't play the 99 cents rental game for first-run fare, but he is willing to sell episodes, charging a premium for HBO content. "I've talked to Steve Jobs quite a bit," he says. "I tell him if he wants to sell our content, he has to pay a fair price for it.""

Time Warner Cable, Sinclair Reach Retrans Agreement In Principle

-- Station group also inks tentative pact with Bright House Networks, Multichannel News reported on January 15, 2011:

"Following a second extension of their retransmission-consent negotiations on Friday, Time Warner Cable reached an agreement in principle with Sinclair Broadcasting on Saturday afternoon for continued carriage of 28 stations within the operator's footprint.

The No. 2 cable operator said it expects to work toward a final agreement in the next seven days. Despite some rhetoric, there was never any service disruption."

Time warner cable is a rip off - movies are to expensive, cable tiers are designed to make the common man pay for stuff we do not need, while jack britt and robert marcus make 15 -20 million per year and I can't even send them an email - they insulate themselves thru their subsidiaries - that is why I am canceling cable - i might as well make satellite rich and get better service.

Time Warner Inc. Completes Spin-off of AOL Inc.

December 9, 2009 -- Time Warner Inc. today announced that it has completed the previously announced spin-off of AOL Inc. (NYSE:AOL). Effective 11:59 p.m. on December 9, 2009, one share of AOL common stock was distributed for every eleven shares of Time Warner common stock held as of 5:00 p.m. on the record date of November 27, 2009. Stockholders will receive a cash payment instead of any fractional AOL shares.

Time Warner Chairman and Chief Executive Officer Jeff Bewkes said: “With the separation of AOL, we’ve returned to our roots as one of the leading content companies in the world. We’re now better positioned to focus even more closely on driving the best possible performance at our content businesses in the most efficient way. I’m confident that Time Warner is on track to generate steady, attractive financial results and improve returns to our stockholders. At the same time, we believe that AOL will have greater operational and strategic flexibility as a standalone company.”
